Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and BIS LLC ("Broker Intelligence", "we", "us") governing your use of the Broker Intelligence platform at app.brokerintelligence.ai and related sites and services (the "Service").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who may use the Service
You may use the Service only if you are at least 18 years old and legally able to enter a contract. The Service is built for licensed real-estate professionals and the brokerages they work within.
If you accept these Terms on behalf of a brokerage or other organisation, you represent that you have authority to bind that organisation, and "you" means that organisation.
2. Accounts
You must provide accurate registration information and keep it current. You are responsible for safeguarding your password and for everything that happens under your account. Notify us at security@brokerintelligence.ai promptly if you suspect unauthorised access.
Do not share your account. Each broker needs their own.
A brokerage administrator may invite brokers to their brokerage, deactivate those accounts, and view aggregate analytics for the brokerage. Administrators cannot view another broker's individual clients, notes, transcripts, or messages.
3. Subscriptions, billing, and trials
Plans and payment. Paid plans are billed in advance on a recurring basis through Stripe. By subscribing you authorise us to charge your payment method on each renewal until you cancel.
Trials. Where we offer a free trial, we will tell you its length at signup. Unless you cancel before it ends, the trial converts to a paid subscription and your payment method is charged.
Renewal and cancellation. Subscriptions renew automatically for successive periods unless cancelled. You may cancel at any time from the billing screen; cancellation takes effect at the end of the current billing period, and you keep access until then.
Refunds. Payments are non-refundable except where required by law or where we state otherwise in writing. We do not provide refunds or credits for partial periods.
Price changes. We may change pricing. We will give at least 30 days' notice before a change affects your subscription, and the change applies from your next renewal. Continued use after that means you accept the new price.
Taxes. Prices exclude taxes. You are responsible for any applicable sales, use, VAT, or similar taxes.
Comped accounts. Some accounts are exempt from billing by arrangement. Those accounts are never charged, and this section applies only to the extent it is relevant.
4. Your data and your clients' data
You own your content. You retain all rights to the client records, notes, transcripts, documents, and other content you put into the Service ("Your Content"). We claim no ownership over it.
Licence to us. You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely to operate and improve the Service for you, and to the extent necessary to provide the features you use. This licence ends when you delete the content or your account, subject to the retention periods in our Privacy Policy.
Your responsibilities. You represent that you have the right to put Your Content into the Service and that doing so does not violate anyone's rights or any law. In particular you are responsible for:
- Any consent required before recording a conversation. Many US states require the consent of every party to a call or meeting.
- Any notice or consent your clients are owed under privacy law, your brokerage's policies, or your MLS and association rules.
- Compliance with the CAN-SPAM Act, the Telephone Consumer Protection Act, and any other law governing how you contact people.
- Retaining transaction records your licensing authority requires you to keep. The Service is not a system of record for regulatory retention.
Broker-private by default. Client records belong to the broker who created them. We do not disclose one broker's client data to another broker or to a brokerage administrator.
5. AI-generated content
The Service uses artificial intelligence to produce briefings, coaching suggestions, market commentary, drafted emails, and other output ("AI Output").
AI Output can be wrong. It may be inaccurate, incomplete, or out of date, and it may misread the context of a deal. Treat it as a starting draft, not as finished work.
You must review before you act. You are solely responsible for reviewing, editing, and approving any AI Output before sending it to a client, relying on it, or acting on it. We are not responsible for the consequences of unreviewed AI Output.
AI Output is not professional advice. It is not legal, tax, financial, appraisal, or brokerage advice. Market figures and property estimates are informational and are not an appraisal or a comparative market analysis you can rely on for a pricing decision.
Fair housing and advertising compliance. You are responsible for ensuring anything you send complies with the Fair Housing Act, state and local fair housing law, your MLS rules, and advertising and disclosure requirements — including the rule against language that expresses a preference based on a protected characteristic. Review AI Output for this before you send it.
Drafts, not sends. Where the Service creates an email draft in your mailbox, it does not send it. Sending is always your action.
6. Third-party integrations
The Service connects to third-party services including Google, Microsoft, SkySlope, PLAUD, and Stripe. Your use of those services is governed by their own terms and privacy policies, not ours.
Connecting an integration authorises us to access data from it as described in our Privacy Policy. You can disconnect at any time. We are not responsible for a third-party service's availability, accuracy, or changes to its API, and an integration may stop working if the provider changes or withdraws access.
7. Acceptable use
Do not:
- Use the Service unlawfully, or to violate anyone's rights.
- Upload data you have no right to upload, or scrape or bulk-export data belonging to another brokerage.
- Send spam, unsolicited marketing, or anything that violates CAN-SPAM or the TCPA.
- Generate or send discriminatory content, or use the Service to steer, redline, or otherwise violate fair housing law.
- Reverse engineer, decompile, or attempt to derive source code, except where law forbids that restriction.
- Probe, scan, or test the security of the Service without written permission; interfere with it; or circumvent rate limits, authentication, or tenancy boundaries.
- Resell, sublicense, or provide the Service to a third party as a service bureau.
- Use automated means to access the Service other than through documented interfaces.
- Upload malware or anything designed to disrupt the Service.
We may suspend or terminate an account that violates this section, and where the violation risks harm to others we may do so without prior notice.
If you find a security vulnerability, tell us at security@brokerintelligence.ai. We will not pursue good-faith research that respects this section and does not access other users' data.
8. Our intellectual property
The Service, including its software, design, text, and branding, is owned by BIS LLC and its licensors and is protected by intellectual property law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your real-estate business during your subscription.
You may not use our name, logo, or branding without written permission.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
9. Service availability and changes
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features. For a change that materially reduces functionality you rely on, we will give reasonable notice where practical.
We may perform maintenance that makes the Service temporarily unavailable.
10. Term and termination
These Terms apply while you have an account.
You may terminate at any time by cancelling your subscription and asking us to delete your account, as described in our Privacy Policy.
We may terminate or suspend your account if you materially breach these Terms, if your payment fails and stays unresolved, if we are required to by law, or if we discontinue the Service. Except where the breach is serious or urgent, we will give you notice and a chance to fix the problem.
On termination your right to use the Service ends immediately. Export your data before you terminate — see the Privacy Policy for how, and for how long we keep data afterwards. Sections 4 (ownership), 8, 11, 12, 13, 14, and 15 survive termination.
11. Disclaimers
Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that AI Output, market data, or synced data will be accurate or complete.
Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
12. Limitation of liability
To the fullest extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, or lost data, even if advised of the possibility.
- Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars.
These limits do not apply to liability that cannot be limited by law. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
13. Indemnification
You will defend, indemnify, and hold harmless BIS LLC and its officers, directors, employees, and agents from any claim, damage, loss, liability, or expense (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right — including fair housing, recording-consent, anti-spam, and privacy law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Oregon, USA, without regard to its conflict-of-laws rules.
Before filing a claim, contact us at support@brokerintelligence.ai and give us 30 days to resolve it informally. Most disputes can be settled this way.
If we cannot resolve it, you and we agree that the state and federal courts located in Multnomah County, Oregon have exclusive jurisdiction, and both parties consent to venue there. If you are a consumer in a jurisdiction whose law gives you the right to bring proceedings locally, this does not remove that right.
15. General
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service, and replace any prior agreement on the subject. Where you and we have signed a separate written agreement covering the Service, that agreement controls to the extent of any conflict.
Severability. If a provision is found unenforceable, the rest stays in effect and the unenforceable provision is limited to the minimum extent necessary.
No waiver. Not enforcing a provision is not a waiver of it.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control.
Changes to these Terms. We may update these Terms. We will revise the date at the top, and for material changes we will give notice in the application or by email before they take effect. Continued use after the effective date means you accept the updated Terms. If you do not agree, stop using the Service and cancel your subscription.
Relationship. Nothing here creates a partnership, joint venture, employment, or agency relationship. We are not your broker, and we do not provide real-estate brokerage services.
